Junior Legal Counsel M&A

Daikin Europe NV (DENV) is a subsidiary of Daikin Industries Limited, a Japanese outstanding company and worldwide the biggest developer, producer and supplier of HVAC-R (heating, ventilation, air conditioning and refrigeration) solutions, including heating pumps and cooling technology.

DENV is Daikin’s sales, R&D, and production headquarters for Europe, the Middle-East and Africa. The headquarter has Belgian offices in Brussels, Ghent and Ostend, as well as 8 production plants, 24 sales subsidiaries and offices and a whole network of independent distributors and dealers across the EMEA region.

The legal department of Daikin Europe N.V. is looking for a Junior Legal Counsel M&A to join its EMEA team. The Junior Legal Counsel M&A reports to the Legal Manager of the Daikin Europe Group (Daikin Europe N.V. and its subsidiaries).

As Junior Legal Counsel M&A you will be a member of the Daikin Europe legal department, responsible for legal support of the Daikin Europe Group’s activities across EMEA including Contract and Risk and Compliance management, IP, insurances and GDPR.

Specifically, as Junior Legal Counsel M&A you will collaborate with a great variety of stakeholders (both internally and externally). Your day-to-day responsibilities include:

  • Providing legal support for the acquisitions of DENV and its subsidiaries in EMEA region: legal due diligence and review/drafting of transaction documents in close cooperation with external counsels;
  • Drafting and assisting with the preparation of M&A-related documents, preparing presentations ;
  • Providing legal support for closing transactions and post-merger integration (PMI);
  • Assisting with other special corporate projects, such as joint ventures;
  • Working closely together with  Daikin’s internal M&A team, as well as with external advisors and experts.
Your Profile:
  • Master in law;
  • Additional studies in the field of M&A is considered as an asset;
  • You have minimum 1 to 3 years of experience as in-house legal counsel or in a law firm;
  • Fluency English is required, knowledge of any additional language is to be considered as an asset;
  • You are a dedicated team player;
  • You have excellent organizational skills;
  • You have excellent knowledge of MS Office tools (especially Word, Excel, PowerPoint and Outlook) and written communication skills;
  • You are proactive and business-minded;
  • You are a good negotiator both internal and external;
  • You have excellent written communicational skills;
  • Willing to travel with the EMEA up to 25%
