Deputy Company Secretary


Reporting to the Company Secretary, the role holder will act as Deputy Company Secretary and Regulatory Affairs analyst. Company Secretary is part of the wider Compliance and Risk function.

  • Assist the company secretarial and the compliance function in their duties and on ad hoc projects as required;
  • Address corporate governance and compliance matters so required for the effective operation of the group;
  • Act as point of contact for the business in respect of company secretary and regulatory affairs queries, and ensure that these are logged, passed on and replied to in a timely manner;
  • Assist with the dissemination of compliance information across relevant business areas;
  • Provide company secretarial support to designated Boards and Committees including but not limited to organizing the agenda, the collection, distribution of papers (electronically via Diligent Boardbooks) and minuting such meetings in order to facilitate effective meetings and taking action points, acting as deputy for the Company Secretary;
  • Prepare regular Compliance updates for Board and Management committees on behalf of the Compliance function;
  • Liaise with Human Resources to achieve compliance with regulatory Fit and Proper requirements;
  • Review and draft necessary resolutions, agreements and other documents for company secretarial or compliance matters resolutions, and powers of attorneys;

  • Assist in establishing and maintaining company secretarial and compliance registers;
  • Support management on appropriate regulatory permissions;
  • Review/update of the registrations at Trade Registries in different EU countries;
  • Liaising with wider operations staff to co-ordinate the Company Secretary and the Compliance supporting systems and intranet site;
  • Assist in developing and maintaining the company’s policy and integrity risk management framework, in close co-operation with the risk and compliance function.
  • Master Degree in Law, Economics or Business Administration, or equivalent;
  • Two or more years’ experience in a Company Secretarial/Compliance role or relevant experience within a Law firm;
  • Knowledge of legislation and regulation applicable to the Insurance industry, or ability and willingness to gain such knowledge;
  • Experience with managing projects in an efficient way and able to keep track of deadlines;
  • Strong written and oral communication skills – Dutch and minimum C1 level English (effective operational proficiency or advanced, both oral and in writing), French is a plus;
  • Effectively plans own workload to meet deadlines, objectives or priorities;
  • Effectively solves problems and makes sound, well-reasoned decisions under pressurised deadlines;
